1. The Club acknowledges that transactions executed by Canada Soccer Connect contain highly confidential data. The disclosure or improper use of such confidential information may cause substantial damage to parties which are involved in the registration and/or transfer of a football/soccer player.
2. The Club will keep all data obtained based on the access to Canada Soccer Connect strictly confidential and take all reasonable measures and apply the highest degree of care in order to guarantee at any time complete confidentiality. Furthermore, the Club will use the confidential information exclusively for the purpose of accomplishing player transactions in which it is directly involved.
3. The Club will promptly inform and cooperate with Canada Soccer Connect if any accidental or unauthorised access has occurred.
4. Canada Soccer Connect as well as the Club, are responsible that persons affected (data subject) are provided with their right of information, correction, blocking, suppression or deletion, as available under the Personal Information Protection and Electronic Documents Act (PIPEDA). They will fully cooperate to perform requests or inquiries of persons affected.
5. The Club will inform the persons affected (data subject) about the processing of their personal data, about the possibilities of how to make use of their right of information, correction, blocking, suppression or deletion and about the data receiver in cases where personal data are disclosed to a third party.
6. The Club unconditionally agrees to fully indemnify, defend and hold Canada Soccer Connect, as well as Canada Soccer or any of its representatives or employees harmless from and against any and all claims, expenses (including legal expenses), damages, settlements or other liabilities, resulting from or arising out of any non-compliance with the obligations of the Club under this Terms of Reference.
7. The Club furthermore unconditionally waives any liability of Canada Soccer Connect, Canada Soccer or any of its representatives, employees, etc. for any damage that the Club may suffer due to any abuse of information by third parties. This waiver of liability does not apply in the case of deliberate or grossly negligent behaviour.
